Consulting · Mergers and Acquisitions Firm Management Software

One connected system for mandates, buyer lists, outreach, diligence, data room files and fees.

Manage an advisory firm’s deals in one system. Each mandate carries its engagement terms, team, counterparties and stage. Buyers and targets share one database. Outreach and confidentiality steps are logged, diligence requests have owners, and time, retainers and success fees sit on the same mandate.

  • Mandate types, stages, fee terms and access rules set as your firm works
  • Contacts, buyer lists and open mandates migrated
  • Edits to stages, templates and report layouts handled by GullySystem staff when asked

GullySystem configures Mergers and Acquisitions Firm Management Software for advisory houses that run their mandates through it. Partners, associates, analysts, compliance and finance staff work from it. Every deal carries its terms, counterparties, outreach, diligence requests, files, time and fees, so any colleague can pick up a live deal.

Where it breaks today

What goes wrong before the software.

Deal status sits with one person

The associate running a mandate knows each counterparty’s round. Cover for a holiday or a handover means asking around.

Buyer lists are rebuilt each time

Investor and corporate contacts from earlier deals live in personal files. A new long list begins from memory and old email.

Confidentiality steps are scattered

Who signed an agreement and who received a memorandum is spread across inboxes. Proving the order of events takes searching.

Diligence sheets multiply

Request lists circulate as spreadsheet versions. Answers from the client, status and the file itself drift apart.

Data room access is hard to audit

Folders, user rights and download history are held by the data room provider. The firm’s own record of who saw what is thin.

Fees and time are matched after closing

Retainers, milestone payments and success fees follow the engagement letter. Staff time and expenses are reconciled later.

How it runs

How the work flows through it, step by step.

  1. 1

    Mandate

The engagement is recorded with client, type, fee terms, exclusivity, term and team, after the firm’s conflict check.

  2. 2

    Preparation

Teaser, memorandum and long list are drafted. Every draft of a document is kept, and the buyer list is drawn from the shared database.

  3. 3

    Outreach

Each approach is logged by party and person. Confidentiality agreements are tracked until signed, before detail is released.

  4. 4

    Indications and diligence

Interest, questions and diligence requests are logged by counterparty, with owners and dates for each answer.

  5. 5

    Offers and negotiation

Offers are recorded by round with terms noted. The team sees where each party stands and what was agreed.

  6. 6

    Closing and billing

Closing documents are tracked to signature, success fees are invoiced, and the mandate file is closed and archived.

Modules

What is inside.

Every module can be switched on, left out or changed to match how your team already works.

Mandates and engagement terms

Record client, mandate type, fee terms, exclusivity, term and team, and keep the signed engagement letter attached.

Conflict and approval checks

Route new mandates to compliance and partners for sign-off, with each decision and date stored on the record.

Buyer, target and contact database

Hold companies, investors and individuals with sectors, interests, past contact and the mandates they have seen.

Deal pipeline and outreach log

Move each counterparty through approach, agreement, memorandum, indication, offer and close, with dated notes.

Confidentiality agreement tracker

Log each agreement’s party, version, date sent and date signed, and block release of detail until it is signed.

Diligence request lists

List requests with owner, due date and status, and mark each one answered once the file is received.

Data room index and access

Index folders and files shared, and record who may see which folder at each stage of a mandate.

Team time and staffing

Book hours by mandate and person, and show capacity so new mandates are staffed against real load.

Fee invoicing and expenses

Raise retainer, milestone and success fee invoices from the engagement terms, with recoverable expenses attached.

Access control by mandate

Restrict sensitive mandates to named staff, so people outside the team cannot open the deal or its files.

Deal reports for clients and partners

Produce a status page for each mandate showing counterparties by stage, open requests and next steps.

Solutions inside

The business modules it is built from.

Each one is also available on its own, or inside a system built for you.

  • Contract Management

Engagement letters are stored with their fee terms, exclusivity and term, so a partner can read what was agreed with the client.

  • Workflow and Approvals

A new mandate cannot open until compliance and the relevant partner have each approved it, and both decisions are dated.

  • Contact & Account Management

Companies and the individuals who work there are held as separate linked records, with the mandates each has seen.

  • Pipeline Management

Counterparties sit on a board by stage for each mandate, so the team sees who is in which round at a glance.

  • Task Management

Every diligence request has a single owner and a due date, and stays open until the file or answer is received.

  • Project Document Management

Files shared in a process are indexed by folder and version, with a record of which parties may open each folder.

  • Roles and Permissions

Rights are set by role and by mandate, so a restricted deal stays closed to everyone outside its named team.

  • Invoice Management

Retainer, milestone and success fee invoices are raised from the engagement terms, with recoverable expenses attached where they apply.

Reports

The numbers the owner asks for.

  • Live mandates by stage and lead
  • Counterparties by stage for each mandate
  • Confidentiality agreements outstanding
  • Diligence requests open and overdue
  • Time booked by mandate and person
  • Fees invoiced and expected by mandate
  • Mandates won, closed and lapsed by sector
Good fit

Who this is built for.

  • Boutique advisory firms running sell-side mandates
  • Buy-side advisers who search for targets for clients
  • Corporate finance teams inside larger accountancy practices
  • Business brokers who handle owner-managed company sales
  • Investment banking teams that cover a sector
  • Firms that advise on mergers between peers
Honest answer

When it is not the right choice.

  • A firm running a single mandate at a time can use a tracker and a folder.
  • A private equity house that manages its own portfolio will find the private equity product closer to fund and portfolio reporting.
Made to fit

Adapted to your business before it goes live.

You are not handed a login and left to it. The product is set up around your records, your people and the tools you already use.

Stages and mandate types

Sell-side, buy-side and merger mandates each get the stages your firm actually uses, with its own names.

Fee structures

Retainers, milestone fees, success fees and expense rules follow your engagement letter templates, with currency set per mandate.

Contacts and open deals migrated

Buyer lists, contact histories and live mandates arrive from spreadsheets, a CRM or personal files.

Access and confidentiality rules

Visibility of each mandate follows the viewer’s role and team. The wording of agreements remains for your own counsel to decide.

Hosting and changes

The platform runs on GullySystem hosting, and GullySystem staff amend stages, templates and report layouts whenever you ask.

Common questions

Questions owners ask before a demo.

Does it work for sell-side and buy-side mandates?

Yes. A mandate has a type with its own stages, so a sale process and a target search are tracked in the way each really runs.

Is the data room itself held here?

The system indexes files and permissions around a mandate. Either a hosted data room is added or an existing one is linked, and the quotation says which.

How are confidential mandates kept apart from other staff?

A restricted mandate is visible only to the named team. Others cannot see its counterparties, notes, files or fees.

Is a buyer list reusable across mandates?

Yes. Investors and companies live in one database with their history, and a new mandate can start from a filtered list.

Does it track confidentiality agreements?

It tracks each one by party, version, sent date and signed date, and holds the signed copy. The legal wording stays with your counsel.

Can time and expenses feed fee invoices?

Yes. Hours by person and recoverable expenses are recorded per mandate and can be pulled into invoices where the engagement terms allow.

Are our current mandates and contacts loaded for us?

Yes. Your sheets can supply contacts, buyer lists and live mandates, and a partner inspects a sample of the imported records before anyone relies on them.

What leaves with us if we stop using it?

Mandate records, contacts and files belong to the firm. Taking them out in a usable format is covered in the quotation from the outset.

How is it priced?

The cost follows user count, mandate volume and integrations. You see a demonstration on a mock mandate first, then a written quotation.

Wondering what it costs? Six questions give you a written scope and the buckets any quote should separate.
