Consulting · Software for mergers and acquisitions firms

Run every sell-side and buy-side mandate from first call to closing on one record.

Mergers and acquisitions firms advise owners on selling a company, buying one or merging two. The software holds mandates, target and buyer lists, outreach, confidentiality agreements, due diligence requests, data room files and fees. Each deal keeps its own contacts, stage and document trail.

At a glance

An advisory mandate runs for months and touches dozens of parties. Owners, buyers, lawyers, accountants and lenders all ask for something, and each request has to be answered, logged and kept confidential. Speed matters. So does secrecy.

Most firms hold this in spreadsheets, a shared drive and personal inboxes, so the state of any one deal sits with the person running it. Our scoping session follows one live mandate across those places.

How the work runs today

A partner wins a mandate and signs an engagement letter with fees, exclusivity and a term. The team prepares a teaser and an information memorandum, builds a long list of possible buyers and agrees who will approach whom, since a clumsy first contact can damage a sale. Each approach starts with a short note. A confidentiality agreement follows before any detail is shared.

Interested parties receive the memorandum. Later they get access to a data room. Due diligence requests arrive from the buyer’s advisers, and the team routes each to the client, chases the answer and logs what was shared with whom. Offers are tracked by round.

Behind this sit time records, conflict checks, retainers, success fees and expenses, all of which the finance team has to match to an engagement letter written long before the deal began. Reporting to the client is regular and detailed, and partners expect the status of every counterparty to be correct before they walk into a call. Closing documents are tracked until the last signature by the lawyers, the client and every buyer party, and only then is the mandate file closed and archived. Nothing else matters at that point.

Where it breaks

What goes wrong for mergers and acquisitions firms without a proper system.

Deal status lives with one person

The partner or associate running a mandate knows which buyers are in which round. A colleague covering for them starts from scratch. Handover is slow.

Buyer lists are rebuilt for each mandate

Contacts from earlier deals sit in personal files. The long list for a new sector is assembled again from memory and email. Work repeats.

Confidentiality steps are hard to prove

Which party signed an agreement, who received the memorandum and when they got data room access are spread across inboxes.

Diligence requests are tracked in long sheets

Each request has an owner, a status and a file. Versions of the sheet circulate, and answers get lost between them.

Fees and time are reconciled late

Retainers, milestone fees and success fees follow the engagement letter. Matching them to staff time and expenses happens after closing. Disputes follow.

What the software does

What we would build for mergers and acquisitions firms.

Named the way your team already talks about the work. We start with whichever part the audit shows is costing you most.

Mandates and engagement terms

Record each client mandate with fee terms, exclusivity, term, team and conflicts check, and keep the signed letter attached.

Buyer, target and contact database

Hold companies, investors and the people at them, with sectors, past interactions and the mandates they have seen.

Deal pipeline and outreach log

Move each counterparty through approach, agreement signed, memorandum sent, indication, offer and close, with notes by date.

Diligence requests and data room index

List every request with its owner and status, and index the files shared, with who may see each folder.

Team time and staffing

Book hours by mandate and person, and see who has capacity before the next mandate is staffed.

Fees, retainers and expenses

Raise retainer and milestone invoices, track success fees against closing events, and attach recoverable expenses.

Common questions

Questions mergers and acquisitions firms ask before they call.

Does it include a virtual data room?

It indexes and permissions the files you share, and can sit beside the data room service your clients expect. Whether a hosted room is part of the scope is decided in the quotation.

Can we keep two teams on opposite sides of a conflict apart?

Yes. Access can be set by mandate and role so that a restricted deal is invisible to staff outside the team. The firm’s own conflict policy defines who is restricted.

Will it do company valuation or financial modelling?

No. Valuation and models stay in the tools your analysts use. The system holds the files, versions and the discussion around them.

Would a small boutique find it heavy going?

Possibly, if a firm runs one or two mandates at a time. It starts to help when several live deals share one buyer database and a small team.

What happens in the free technology audit?

We look at the software, spreadsheets and WhatsApp groups your business runs on today and write down what works, what slows your team down and what is missing. A demo login, a screen-share or a few screenshots are enough to start. You get a report ordered by priority, and there is no obligation to hire us afterwards.

How much will the software cost?

We don’t publish a price, because it depends on what the system has to do. The audit settles the scope, and the cost goes into a written proposal before any work starts.
